Terms & Conditions

Last updated September 22, 2026

These Terms govern your use of Clodou, a software service operated by Clodou (“Clodou”, “we”, “us”). By creating an account or subscribing you agree to them. Questions: support@clodou.com.

1. The service

Clodou is a web application that helps small teams run their back office: clients, quotes and invoices, tasks, expenses, projects, time tracking and an AI assistant that prepares and performs these actions on your instruction. Clodou is a management tool, not an accountant, tax adviser or legal adviser, and its output does not constitute professional advice.

2. Accounts

  • You must provide accurate details and keep your credentials safe.
  • You are responsible for everything done in your workspace, including by members you invite.
  • Accounts are for use by humans, not shared or resold access.

3. Subscriptions, billing and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle’s terms apply in addition to these Terms.

  • Paid plans are billed per active member, per month, in advance, in US dollars. Prices shown on our pricing section are exclusive of any applicable sales tax or VAT, which Paddle calculates at checkout.
  • Subscriptions renew automatically each month until cancelled. You can cancel at any time from Settings; access continues to the end of the paid period.
  • Adding members increases the billed quantity from the next billing event; removing members reduces it.
  • Free plan usage is subject to the limits published on our site and may change.

4. Acceptable use

You agree not to:

  • break the law, infringe rights, or send spam or fraudulent invoices;
  • upload malware, attempt to breach or overload the service, or probe other customers’ data;
  • reverse engineer, scrape, or resell the service, or use it to build a competing product;
  • use the AI assistant to generate unlawful, deceptive or abusive content.

5. Your content and our intellectual property

You keep all rights to the data you put into Clodou. You grant us the limited licence needed to host, process and display it so the service works. We and our licensors keep all rights in the Clodou software, brand, design and documentation; nothing here transfers them to you.

6. Suspension and termination

We may suspend or terminate access if you breach these Terms, if payment fails and remains unpaid, or if use of the service threatens its security or legality. Where reasonable we will warn you first and give you a chance to fix the problem. You may stop using Clodou at any time by cancelling and deleting your workspace; we will delete or anonymise your data as described in our Privacy Notice.

7. Availability, warranties and liability

We work to keep Clodou available and accurate but provide it “as is” without warranties of uninterrupted or error-free operation. You remain responsible for reviewing documents, amounts, tax rates and messages before they are issued or sent. To the extent permitted by law, our total liability for any claim is limited to the fees you paid in the twelve months before the claim, and we are not liable for indirect or consequential loss.

8. Changes

We may update these Terms. Material changes will be announced in the app or by email before they take effect; continued use after that means you accept them.
